If you are using Lightroom 5 and you open a catalog, then it has already been upgraded to a Lightroom 5 catalog.
In general, in Lightroom 5 use File->Open Catalog and point to whatever catalog file is of interest. Also as a general rule, one catalog is usually preferable to multiple catalogs, except in special situations.
